Equity, Joint Venture or Offtake: Choosing Your Route Into Ghana’s Gold Sector

There is no single way to invest in Ghanaian gold. The right route depends on how much risk you can carry, how much control you need, and how close to the mine you want to be.

1. Equity in a mining company

Buying shares in a company that holds or develops a mining lease. You share in the upside and the risk of the whole project.

  • Watch for: the state’s 10% free carried interest in mining leases; the status and term of the lease; fiscal terms including the sliding-scale royalty.
  • Suits: long-term investors with technical support and patience.

2. Joint venture with a Ghanaian licence holder

Common at the small-scale end, because small-scale mining licences may only be granted to Ghanaian citizens. Foreign partners typically bring capital, equipment or expertise.

  • Watch for: structures that try to disguise foreign control of a small-scale licence, which carry serious legal risk; who owns the equipment and output; dispute resolution.
  • Suits: investors with a trusted local partner and on-the-ground oversight.

3. Offtake

Buying production rather than owning the mine. For small-scale gold, GoldBod is the sole exporter, and foreigners may apply to buy or off-take gold directly from it. Large-scale producers sign offtake contracts with refiners and traders.

  • Watch for: since 1 September 2026, local refining before export for doré bought under approved off-take arrangements, with refining costs borne by the aggregator or off-taker.
  • Suits: refiners, traders and buyers who want metal, not mining risk.

4. Finance and services

Equipment finance, prepayment facilities, processing, refining, assay and logistics services earn returns from the sector without holding a mineral right.

Questions to answer before choosing

  • Do you need gold, cash returns, or long-term asset value?
  • Who will verify licences, geology and partners on the ground?
  • How will you exit?
  • Which Ghanaian lawyer and tax adviser will review the structure?
